1. Acceptance of Terms

By accessing or using PropMatrix, a product of APS Matrix ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the platform.

2. Description of Service

PropMatrix is a real estate lead management, CRM, and workflow automation platform designed for Developers, Brokerage Firms, and Channel Partners. It provides centralized lead capture, AI-driven intelligent assignment, masked calling, WhatsApp integration, and performance analytics.

3. Account Responsibilities

• Authorized Access: You are responsible for maintaining the confidentiality of your account credentials. You agree not to share your login details or allow unauthorized users to access the central data vault.
• Lawful Use: You agree to use the PropMatrix communication tools (including the WhatsApp integration and auto-dialer features) in strict compliance with applicable telemarketing, anti-spam, and privacy laws.
• Data Ownership: You retain full ownership of the leads, contacts, and customer relationships you import or generate via the platform. PropMatrix acts solely as a data processor on your behalf.

4. Intellectual Property

All software, design, interfaces, AI logic, and architecture powering PropMatrix are the exclusive intellectual property of APS Matrix. Users are granted a limited, non-exclusive, non-transferable license to use the platform during their active subscription period. You may not reverse-engineer, duplicate, or resell the platform.

5. Subscription, Billing, and Trials

• Services are billed on a subscription basis.
• Promotional offers (such as a "3 Months Free" trial) grant premium access subject to the specific terms outlined during onboarding. Upon expiration of a trial, continued access requires a paid subscription.

6. Limitation of Liability

To the maximum extent permitted by law, APS Matrix shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, lost revenue, or lost data resulting from the use or inability to use PropMatrix, including any delays in third-party integrations (e.g., Meta, Google, or property portals).

7. Termination

We reserve the right to suspend or terminate your access to PropMatrix if you violate these Terms of Service, engage in unlawful activity, or fail to fulfill payment obligations. Upon termination, you will have a limited window to export your lead data before it is securely deleted from our servers.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh.
